Terms of Service

These terms are an agreement between you and Coduo Studio, LLC, a Delaware limited liability company ("we", "us"). They cover the Shareling apps for Mac, iPhone and iPad, the Chrome extension, the web library and this website (together, "Shareling"). By using Shareling you agree to these terms and to our Privacy Policy. If you do not agree, do not use Shareling.

What Shareling is

Shareling lets you send links to specific people and keep the links you save in one library. Links, notes and channels are stored in your own iCloud account through Apple's CloudKit, not on our servers. Some features rely on Apple's services and on the third-party services named in the Privacy Policy.

Who can use it

You must be at least 13 years old, or the minimum age for digital consent where you live if that is higher. If you use Shareling for an organisation, you confirm you may accept these terms on its behalf.

Your account

You sign in on this website with Sign in with Apple. Your Shareling account is part of one Coduo account that also works with our other products. Keep your Apple ID secure, and tell us at hello@coduo.co if you think someone else has used your account. You can delete your account from the account page at any time.

Plans, trial and payment

  • Free. You can host a channel with one person without paying.
  • Trial. From launch, the app offers a 7-day free trial of the paid features. A trial never charges you. When it ends, you choose whether to buy a plan.
  • Monthly and Yearly subscriptions let you host as many people as you like. They renew automatically at the end of each period at the price shown when you bought, until you cancel. You can cancel at any time from the account page; you keep access until the end of the period you paid for.
  • Lifetime is a single payment for the paid features and every update to Shareling for as long as we offer it.
  • Purchases on this website are sold through Link, which uses Stripe's Managed Payments as merchant of record. Link takes the payment, calculates and collects sales tax, VAT or GST, sends your receipts and invoices, and handles payment and subscription support. Coduo Studio, LLC still runs Shareling and supports the product. Prices are in US dollars and shown before tax; any tax is added at checkout. We never see your full card number. Purchases made through the App Store are handled by Apple.
  • If a renewal payment fails, your plan stays active for 7 days while you update your payment method.
  • If a subscription ends, every channel you already host stays, and nothing is locked or deleted. You cannot host new people beyond the free one, and the app stops receiving updates until you subscribe again.
  • We may change prices for future periods. We will tell you before a change applies to a renewal, and you can cancel before it does.

Pre-orders

A pre-order buys a Lifetime plan before Shareling is released. We have not set a release date. We will email everyone who pre-ordered when Shareling is ready to download. You can ask for a full refund at any time until Shareling ships by writing to hello@coduo.co.

Refunds

If Shareling is not right for you, email hello@coduo.co within 14 days of a purchase or renewal and we will have it refunded in full through Link. After that, payments are not refundable except where the law says otherwise. Nothing in these terms limits a right to withdraw or cancel that the law where you live gives you.

Your content

The links, notes, topics and other things you put into Shareling are yours. You give us permission to process them only as needed to run the features you use, as the Privacy Policy describes. We do not use your content to train AI models. You confirm you have the right to share what you send, and that sending it does not break the law or anyone else's rights.

Acceptable use

Do not use Shareling to:

  • send anything illegal, or anything that exploits or harms children;
  • harass, threaten or spam people, or send links you know to be malware or phishing;
  • infringe someone else's intellectual property, privacy or other rights;
  • probe, overload or get around the security, rate limits or plan limits of Shareling or its servers, or access them by automated means other than the apps we provide;
  • copy, resell or reverse engineer Shareling, except where the law allows it.

Channels are private between two people, so we do not review what you send. If we learn of a breach of these terms, we may suspend or end the account involved.

AI features

Shareling can label a page you save (its type, style, tags and a one-line summary) and suggest topics for it. These are produced by AI models run by Anthropic and TypeSafe. They can be wrong, incomplete or unexpected. Treat them as a convenience, check anything that matters, and do not rely on them as a statement of fact.

Other services

Shareling depends on services we do not control, including Apple iCloud and Sign in with Apple, Stripe, and the websites whose links you save. Their own terms apply to your use of them, and we are not responsible for their availability or content. A link someone sends you is their content, not ours.

Changes to Shareling

Shareling is new and will change. We may add, change or remove features. If we stop offering Shareling altogether, we will give at least 30 days' notice and refund the unused part of any subscription. Your links stay in your iCloud account either way.

Our property

The Shareling name, logo, apps, website and design belong to Coduo Studio, LLC or its licensors. These terms give you a personal, non-transferable right to use Shareling; they do not give you any other rights in it. Open-source components are listed on the Licenses page and are covered by their own licences.

Ending your use

You can stop using Shareling and delete your account at any time. We may suspend or end your access if you break these terms or if the law requires it. Sections on your content, disclaimers, liability, indemnity and governing law continue after your use ends.

Disclaimer

SHARELING IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT SHARELING WILL BE UNINTERRUPTED OR ERROR-FREE, THAT SYNC WILL NEVER FAIL, OR THAT AI-GENERATED LABELS AND SUGGESTIONS WILL BE ACCURATE. KEEP YOUR OWN COPY OF ANYTHING YOU CANNOT AFFORD TO LOSE.

Limit of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST DATA, PROFITS OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ABOUT SHARELING IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AND US$50.

Some places do not allow these exclusions or limits. Where that is the case, they apply only as far as the law allows, and they do not affect rights you have as a consumer that cannot be waived.

Indemnity

If someone brings a claim against us because of content you sent through Shareling or your breach of these terms or the law, you agree to cover our reasonable costs of that claim, including legal fees. This does not apply to the extent the claim was caused by us.

Governing law

These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules. Disputes will be heard by the state or federal courts located in Delaware, and both of us consent to their jurisdiction. If you are a consumer living outside the United States, you also keep the protection of the mandatory laws of your country and may bring a claim in its courts.

Changes to these terms

We may update these terms. We will change the date at the top, and for a material change we will tell you by email or in the app before it takes effect. If you keep using Shareling after a change takes effect, you accept the new terms; if you do not accept them, stop using Shareling and cancel any subscription.
